Terms & Conditions - SSCS 2021

The Health Supply Chain Solutions Challenge is an initiative of Management Sciences for Health (MSH), Uganda Healthcare Federation and ACODE implemented under the USAID/Uganda Strengthening Supply Chains Systems Activity (SSCS) in conjunction with United Nations Population Fund (Uganda). The SSCS Activity seeks to support bold innovations that improve access to affordable, quality essential medicines and health supplies for Ugandans.

For this call, we are seeking solutions that:

  • Boost system-wide performance and maximize health supply chain efficiency at the national, district, regional referral hospital, health facility, and community levels.
  • Strengthen supply chains that reach and address the health needs of women and youth.
  • Simplify the collection, reporting, and use of supply chain data to support decision making.
  • Promote and increase demand and accountability of the health supply chain system at all levels.
  • Support community-based medicine pick-up points for patients
  • Use innovative and sustainable approaches to inform the mobilization domestic resources and health commodity financing.

By choosing to participate in the initiative constitutes the contestant's full consent to these terms and conditions. The Organizer’s decisions are final and binding.

Participating in the initiative and (if the organizers choose to offer one) winning technical support (as further defined below) is contingent upon fulfilling all requirements outlined in these terms and conditions and entering further agreements.

Reference to "Participant" means:

The applicant meets the conditions set out in this document.

 

Applicant eligibility

Individual applicant eligibility

  • You must be over 18 years of age at the time of the application.
  • Fluency in English
  • You can be a health worker, student, entrepreneur, researcher, civil servant, or civil society organization irrespective of gender.
  • You are a Ugandan national or any other -nationality currently living or working in Uganda with an up-to-date work permit.
  • You must be in a team of at least three or more people

Organizational eligibility

This competition is also open to organizations that meet the following criteria:

  • You are a non-profit, for-profit, Non-government organization or University.
  • Have operations in Uganda.
  • Fully registered and compliant with Uganda Registration Services Bureau (URSB), Uganda Revenue Authority or other  relevant national registration authority.
  • Your solution may be early-stage (idea) or existing (pre-revenue or post-revenue with early traction). Existing solutions should have been in existence for a minimum of 1 year of implementation. All solutions should focus on improving access and availability to quality essential medicines and health supplies.
  • You are not blacklisted from receiving any financial assistance from USAID

Application Period  

  1. Calls for applications will be publicly announced through various media as determined by the initiative. Participants may enter an application between the dates specified.

General Requirements for Admission into the initiative

  1. By choosing to apply for the initiative, all applicants agree to adhere to any local and international laws, rules, and regulations to which they are bound. Applicants will conform to, adhere to professional rules of engagement and code of ethics as demanded by their industry or profession to which they subscribe. Any breach of the regulations may lead to disqualification, or the matter reported to the respective authorities for investigation.
  2. A participant may enter only one application per cohort call into the initiative, and any duplicate application may be subject to disqualification. 
  3. The applicant must apply through the Up Accelerate website. Applications received by email, WhatsApp or in-person will not be accepted.
  4. In the event that an applicant is a member of more than one innovation , then
    1. the innovation must be substantially different from other.
    2. the team member(s) may be required to focus on only one innovation for the initiative.
  5. An application may be rejected at the sole discretion of the Organizers for any reason, including but not limited to; if the application, either in part or in its entirety, is deemed to be obscene, defamatory, likely to incite violence or illegal activity, in violation of any third-party's rights or any relevant regulations, or is otherwise deemed to be inappropriate or in violation of the terms and conditions outlined in this document.
  6. Applications must not violate the Intellectual Property rights or other rights including, but not limited to, copyright, trademark, patent, Contract, and privacy rights of any other person or entity. 
  7. By applying, the applicant represents, warrants, and agrees that any use of the application by the Organizers (or any of their respective partners, subsidiaries and affiliates) as authorized by these terms and conditions shall not infringe upon, misappropriate or otherwise violate any intellectual property right or proprietary right including, without limitation, any registered or unregistered trademark, copyright, design rights or patent, nor any privacy rights, moral rights nor any other rights of any person or entity.
  8. All information with regards to the scoring criteria, application guidance and contracting arrangements shall be shared on the Up Accelerate website. 
  9. Recommendations for admission to the initiative will follow a quantitative and qualitative assessment performed by the Organizer's Advisory Panel. The evaluation will be against a criterion in tandem with the application information provided by the applicant. The requirements are available on the Up Accelerate website.
  10. A pitch may be requested as part of the assessment following your application.
  11. The Organizers will select a final list of applicants from the recommendations to participate in the incubator. 
  12. The Organizers shall formally invite the applicant(s) to join the initiative following the final selection process. Organizers also reserve the right to request further information or carry out any due diligence on the participant before finalizing any contractual arrangements.
  13. A final signed contract between the Organizer and the applicant(s) shall serve as the primary point of reference of agreement to join the initiative. The terms conditions shall be binding to all involved parties. No part of the Contract shall be transferable.
  14. Winning participants will be offered up to USD 50,000 to cater for activity costs and technical assistance. The financial offer will not be a grant to the participants; however, the organizers will disburse it according to a milestone-based activity plan.
  15. Participation in our initiative is confirmation that you agree to adhere to all the policies, guidelines, and terms and conditions listed on the up accelerate website https://sscs.upaccelerate.co.ug These may include (but are not limited to) these Terms and Conditions, the Youth and Child Protection Guidelines, Protection against sexual exploitation, abuse and harassment

General Requirements whilst part of the initiative

  1. The beneficiary is required to notify the organizers before any change of ownership or shareholding in the innovation.
  2. Each application should have a nominated leader with sufficient authority and accountability to mobilize business resources and participants to act as the focal point of contact. The nominated leader should share all necessary information with the team members. 
  3. The Lead Implementing Partner may pair applicants with other collaborating partners for support and guidance during course of the initiative. Under such circumstances, applicants will be expected to abide by these institutions' governance principles as necessary.
  4. Participation in hosted events, speeches and workshops is mandatory for all applicants. Participation in this case includes all members of the founding team and other non-founding members deemed essential for the event.
  5. The Organizer and their stakeholders will record all training sessions, engagements and track the initiative's progress.
  6. Towards or at the end of the incubation phase of the initiative, participants will demo their product or solution to potential partners and fellow entrepreneurs/innovators unless the organizers determine that the participants do not meet the quality and standard level required feature on demo day.

Publicity

  1. Participation in the initiative constitutes the participant's consent to the organizers and their agents to use the participant's name and description, including the organization name and the participant’s likeness, photograph, voice, opinions, comments in whole or in part, in any media including but not limited to print, audiotape, videotape, film, television, and other websites, online or offline, for the purpose of providing news and information, promoting awareness of global health issues, for training purposes, and for publicizing and promoting the work of the organizers and their agents. The organizers and their agents will not sell or use the materials for unauthorized commercial activities

General conditions

  1. In the event a awardee is disqualified  from the initiative, the organizers may, at their sole discretion, select an alternate participant from the applicant. in or outside the finalist shortlist.
  2. The Organizers reserve the right to cancel, suspend and/or modify this initiative, or any part of it, if any fraud, technical failure or any other unanticipated factor or factors beyond the Organizers' control impairs the integrity or proper functioning of this initiative, as determined by the Organizers at their sole discretion.
  3. The Organizers reserve the right at their sole discretion to disqualify any participant if found to be tampering with the initiative, for entry or selection process (for example, by lobbying for selection), or to be acting in violation of these Terms and Conditions, and in a manner that is inappropriate, not in the best interests of this initiative, or a violation of any applicable law or regulation. 
  4. Any attempt by any person to undermine the proper conduct of the initiative may be considered a violation of criminal and civil law. Should such an attempt be made and is discovered, the organizers reserve the right to take legal action, without limitation, referral to law enforcement for any illegal or unlawful activities. 
  5. The Organizers' failure to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision. The Organizers are not responsible for incomplete, late, misdirected, damaged, lost, illegible or incomprehensible applications, or for address or email address changes of the participant. Proof of sending or submitting will not be deemed to be proof of receipt by the Organizers.  
  6. In the event of any discrepancy or inconsistency between any provisions of these Terms and Conditions, and disclosures or other statements contained in any initiative materials including, but not limited to, the application form, the Up accelerate website, advertising (including, but not limited to, television, print, radio or online advertisements), these Terms and Conditions shall prevail unless otherwise superseded by any other Contractual arrangements. 
  7. The Organizers reserve the right, without liability, to amend these Terms and Conditions at any time, including the rights or obligations of participants. In such an event, the Organizers will post the amended Terms and Conditions on the initiative website. Any amendment will become effective at the time the Organizers post the amended Terms and Conditions.  
  8. All intellectual property related to this initiative (excluding Participants' products and innovations and proprietary intellectual property), including, but not limited to, trademarks, trade names, logos, designs, promotional materials, web pages, source codes, drawings, illustrations, slogans and representations, are owned or used under license by the Organizers. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owners is strictly prohibited.  
  9. The participants shall act in accordance with all applicable laws in the relevant jurisdiction and continue to do so during their involvement in the incubator. Organizers may terminate any agreement with the participant with immediate effect should it, in its sole discretion, deem that the participant has contravened any applicable laws. The Organizers shall not be liable for any direct or indirect losses of the participant arising from any termination under this clause. 
  10. Should any provision of these Terms and Conditions be, or become, illegal or unenforceable, such illegality or unenforceability shall leave the remainder of these Terms and Conditions unaffected and valid. The unlawful or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest and best reflects the organizers’ intention in a legal and enforceable manner concerning the invalid or unenforceable provision. 

Entry conditions and indemnity  

  1. Each participant acknowledges and agrees that the relationship between the Participants and the Organizers is not a confidential, fiduciary, or other special relationship and that the participant's decision to provide the participant's application to the Organizers for this initiative does not place the Organizers and their respective agents in a position that is any different from the position held by the members of the general public concerning elements of the application, except as expressly provided in these Terms and Conditions. The Organizers and their approved participants will not enter into Non-Disclosure agreements with Participants in connection with the initiative.

By entering, each participant (including all participating members of an innovation) agree(s) to:

  • Comply and bound by these Terms and Conditions and the Organizers' decisions, which are binding and final in all matters relating to this innovation initiative.
  • Indemnify, defend and hold harmless the Organizers, and their respective parent, subsidiary, and affiliated companies and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the initiative, and all of their respective past and present officers, directors, employees, agents and representatives from and against any and all claims, expenses, and liabilities (including legal fees), including, but not limited to, negligence and damages of any kind to persons and property, defamation, infringement of trademark, copyright, design right or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a Participant's entry, creation of application or admission of application, participation in the initiative, acceptance or use or misuse of the support offered (including any related travel or activity), participation in Pitch Days, participation in the incubator and/or the broadcast, transmission, performance, exploitation or use of application as authorized or licensed by these Terms & Conditions. 

Data Privacy

  1. All personal information collected from you is subject to Uganda's Data Protection and Privacy Act (2Z019) and our Data Protection and Governance policy located on the Up Accelerate website

Law and Jurisdiction  

  1. The Terms and Conditions are governed by Ugandan Law and are subject to the exclusive jurisdiction of Ugandan Courts.
